The Auction Company is not responsible for a bidder's inability to place a bid resulting from internet connectivity, computer or mobile device problems, software issues, bidder error, or other circumstances outside the Auction Company's reasonable control. Bidders are strongly encouraged not to wait until the final seconds of the auction to place a bid. The Auction Company reserves the right to pause, extend, reopen, postpone, or reschedule bidding if reasonably necessary to protect the integrity of the auction. ________________________________________ 19. EXTENDED BIDDING / SOFT CLOSE The online auction may utilize an automatic extended bidding or "soft close" feature. If a qualifying bid is received during the designated final bidding period, the auction may automatically extend for an additional period. IF A BID IS RECEIVED IN THE LAST MINUTE OF BIDDING COUNTDOWN, THE BIDDING WILLL AUTOMATICALLY EXTEND FOR (2) MINUTES EACH TIME UNTIL THERE ARE NO MORE BIDS. ANNOUNCEMENTS & MODIFICATIONS Auction Company reserves the right to modify, supplement, or clarify these Terms before or during the auction when reasonably necessary. Properly published online announcements, notices, corrections, addenda, or modifications shall become part of the auction Terms. Each bidder is responsible for reviewing the auction information and any updates before bidding. ________________________________________ 27. AUCTION CANCELLATION OR POSTPONEMENT Subject to applicable contractual obligations and law, Seller and/or Auction Company reserve the right to postpone, cancel, extend, or reschedule the auction. Neither Seller nor Auction Company shall be responsible for expenses incurred by prospective bidders in connection with inspecting, investigating, financing, traveling to, or preparing to bid on the property. ________________________________________ 28. AUTHORITY TO BID Any person bidding on behalf of a corporation, limited liability company, partnership, trust, estate, or other entity represents that they possess legal authority to bind that entity. The Auction Company may require documentation verifying such authority. NO ORAL REPRESENTATIONS Bidders should not rely upon oral statements inconsistent with the written auction documents. GOVERNING LAW These Online Auction Terms & Conditions and the resulting real estate transaction shall be governed by the laws of the State of New Mexico, except as otherwise provided in the executed Real Estate Purchase Agreement. Venue and jurisdiction for any dispute shall be determined according to the purchase agreement and applicable law. ________________________________________ 31. SEVERABILITY If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in effect to the fullest extent permitted by law. ________________________________________ 32.
